Nyavisa Technologies - Terms and Conditions

1. Acceptance of Terms
By accessing or using services from Nyavisa Technologies ("Company," "we," "us"), you ("Client," "you") agree to these legally binding Terms. If you disagree, do not use our services.
2. Services
2.1 Scope
Services are described in proposals, statements of work (SOW), or service agreements.
We reserve the right to modify or discontinue services with 30 days’ notice.
2.2 "As-Is" Basis
Services are provided without warranties unless explicitly stated in a signed agreement.
3. Payment & Billing
3.1 Fees
Client agrees to pay fees per the agreed schedule.
Late payments >15 days incur 1.5% monthly interest or service suspension.
3.2 Taxes
Client is responsible for all applicable taxes (unless Company is legally required to collect).
4. Limitation of Liability
Company is not liable for:
Indirect, incidental, or consequential damages (e.g., lost profits, data loss).
Third-party actions (e.g., cloud provider outages).
Maximum liability = Fees paid by Client in the last 12 months.
5. Intellectual Property (IP)
5.1 Ownership
Pre-existing IP remains owned by each party.
Custom developments (software, reports) are licensed to Client upon full payment.
Nyavisa retains rights to reusable frameworks/tools.
5.2 Restrictions
Client may not: Reverse-engineer, modify, or resell Company’s proprietary tools.
Remove copyright notices.
6. Data Protection & GDPR
6.1 Compliance
Client warrants data processing complies with GDPR, CCPA, etc.
Nyavisa acts as a Data Processor under GDPR and follows Client’s lawful instructions.
6.2 Confidentiality
Both parties agree to protect confidential information with reasonable safeguards.
7. Termination
7.1 By Client
May terminate with 30 days’ written notice.
7.2 By Nyavisa
We may immediately suspend or terminate for:
Non-payment (>15 days overdue).
Breach of Acceptable Use (e.g., hacking, illegal activity).
Client insolvency/bankruptcy.
8. Acceptable Use Policy (AUP)
Client agrees not to:
Use services for illegal, fraudulent, or abusive purposes.
Circumvent security measures.
Transmit viruses/malware.
9. Dispute Resolution
9.1 Arbitration
Disputes resolved via binding arbitration in [Gwinnett county].
9.2 Governing Law
These Terms are governed by laws of Georgia/ Gwinnett County.
10. General
10.1 Force Majeure
Not liable for delays due to natural disasters, wars, pandemics, etc.
10.2 Updates to Terms
We may update these Terms with 30 days’ notice (posted on our website).
10.3 Entire Agreement
These Terms supersede all prior agreements.
